MGI Consulting’s 6-Step Process for IRC Adjustment Services
Step 1: Requirement Intake and Current Status Review
We record the contents that the client wishes to change and review the project’s compliance status, including capital contribution progress and reporting obligations, before carrying out the procedure.
Step 2: Legal Assessment of the Adjustment Contents
We compare the proposed changes against planning requirements, WTO commitments, and financial capacity to identify potential risks of refusal or requests for explanation.
Step 3: Dossier Development and Standardization
We draft the investor’s decisions and detailed explanation documents. We also arrange notarized translation of foreign documents where required.
Step 4: Application Submission and Progress Monitoring
We submit the application dossier to the investment registration authority on your behalf. We closely monitor the progress and promptly respond to any requests for amendment or supplementation from the handling officer.
Step 5: Result Collection and Handover of the New IRC
We collect the updated Investment Registration Certificate with the new information and hand it over to the client.
Step 6: Post-Adjustment Procedures and ERC Update
We proceed with the enterprise registration amendment at the Business Registration Office to synchronize the legal entity data, if the IRC adjustment changes any information recorded on the ERC.
Frequently Asked Questions About Investment Registration Certificate (IRC) Adjustment
Q1: How long does the IRC adjustment procedure take?
Under regulations, the process usually takes 10 to 15 working days from the date a valid application dossier is received. However, the actual timeline may be longer if the adjustment is complex, such as cases involving technology appraisal or environmental matters that require opinions from other authorities.
Q2: If I only change the legal representative, do I need to amend the IRC?
It depends on the specific case.
If the legal representative is also an individual investor recorded on the IRC, the IRC must be adjusted.
If the change only relates to an internal management position, such as Director or General Director, and does not change the investor’s information, it is usually sufficient to update the ERC.
Q3: Is it mandatory to amend the ERC after receiving the new IRC?
Yes. This is a mandatory requirement to ensure consistency.
For example, when you increase investment capital on the IRC, you must also increase charter capital on the ERC. If the information is not synchronized, the company may face issues related to tax and financial reporting.
Q4: What is the penalty for failing to adjust the IRC on time?
Under Decree 122/2021/ND-CP, failure to carry out the procedure for adjusting an investment project may result in a fine ranging from VND 70 million to VND 100 million. The company may also be required to complete the procedure to remedy the violation.
Q5: What should be noted when adjusting the IRC to increase capital?
The most important requirement is proving financial capacity. For additional contributed capital, the investor must provide a bank balance confirmation or profitable financial statements, in the case of an institutional investor, corresponding to the proposed capital increase.
Q6: Can I implement the changes while waiting for the new license?
It is not recommended. Any change is only legally valid after the new IRC has been issued. Carrying out activities before approval, such as operating in a new business line or expanding construction, may violate the law and lead to administrative penalties or suspension of the project.
