Accurate Legal Dossier Preparation
We prepare the business suspension notice, decision, and copy of the meeting minutes of the Members’ Council or Board of Directors in accordance with Clause 2, Article 60 of Decree 168/2025/ND-CP.
Application Submission and Explanation on Your Behalf
We submit the application on behalf of the company to the Business Registration Office for enterprises, or to the district-level or commune-level registration authority for household businesses. We also monitor the inter-agency processing between the Department of Finance and the tax authority.
Result Handover and Deadline Monitoring
We hand over the confirmation of the company’s registered business suspension. We also set up an automatic reminder system to notify the client one month before the suspension period expires, helping the client proactively decide whether to extend the suspension or resume operations.
MGI Consulting’s 5-Step Process for Business Suspension Services
Step 1: Requirement Intake and Tax Obligation Review
We check the company’s tax filing status and the operating status of its tax code. If the tax code has been closed, we advise on the procedure to reactivate the tax code first.
Step 2: Dossier Preparation
Our specialists prepare the business suspension resolution or decision in accordance with the company type, such as single-member limited liability company, multi-member limited liability company, or joint stock company.
Step 3: Suspension Registration Submission
We submit the application to the business registration authority no later than 3 working days before the expected suspension date.
Step 4: Dossier Processing
The business registration authority reviews the validity of the application and transfers the information to the tax authority to confirm the company’s legal status. The expected processing time is 3 working days.
Step 5: Result Collection and Post-Suspension Advisory
We collect the business suspension confirmation and advise the client that the company is not allowed to sign new contracts or issue invoices during the suspension period.
Frequently Asked Questions About Business Suspension
Q1: What is the maximum period for business suspension?
Each registered suspension period must not exceed one year. A company may extend the suspension multiple times consecutively. However, the extension notice must be submitted no later than 3 working days before the expiry date of the previous suspension period.
Q2: Does the company have to submit tax returns during the suspension period?
If the company suspends business for the entire calendar year or the full tax period, whether monthly or quarterly, it is not required to submit tax declaration dossiers. If the suspension does not cover the full month, quarter, or year, the company must still submit tax declarations for that period.
Q3: Does the company have to pay the business license fee during business suspension?
If the company submits a written request for business suspension for the entire calendar year, from January 1 to December 31, to the tax authority before January 30 of that year, it may be exempt from the business license fee for that year. If the suspension does not cover the full calendar year, the company must still pay the business license fee for the entire year.
Q4: Can the company resume operations earlier than the registered suspension period?
Yes. The company has the right to resume operations before the registered suspension period expires. The company must submit a notice of early business resumption to the business registration authority no later than 3 working days before the resumption date.
Q5: Can a company with outstanding tax debts suspend business?
Yes, provided that the company’s tax code is still active and has not been locked or closed. However, business suspension does not eliminate outstanding tax obligations. The tax authority may still calculate late payment interest and apply enforcement measures to collect tax debts during the suspension period.
Q6: Is the procedure different for household businesses?
Yes. Household businesses submit the application to the commune-level business registration authority. If a household business suspends operations for 15 days or more, it is required to complete the notification procedure.
